Three recent transactions:

Real Estate

  • Representation of an investment company who entered into a building lease with a Swiss State (Canton) over an old monastery, as part of a public private partnership regarding the development and re-conceptualization of the historic site after it had been given up by the clergy. Drafting of the respective agreements and supporting and representing the client through the various steps of the political process, which included a vote in State parliament (and a potential public referendum, if requested by voters).
  • Advising and representing a real estate development company in the indirect acquisition of a factory area, with the aim of converting it into a residential project, by way of a share deal, after the target company's balance sheet had been stripped from all non-real-estate-related assets and liabilities (carve out of the operative enterprise and all the risks associated therewith by way of an asset deal in the time period between signing and closing).
  • Advising and representing a real estate development company in the drafting of a building lease agreement with local authorities over state-owned land, contingent upon a positive vote in local parliament; drafting of associated agreements, including a contingent joint-development agreement with the real estate investment arm of one of the major Swiss pension funds; supporting the client through the various steps of the political process.
